تحليل وتعليق
الفرع الأول : تحليل قرار
تتلخص وقائع النزاع في القرار محل التعليق في إن المدعيين ( الطالبين) دائنين بمقتضى التزام ناشئ عن اتفاقية مؤرخة في 8/2/1988 من أجل تحرير عقود نهائية لاقتناء الشركات والأصول التجارية ضد المدعى عليهما (المطلوبان).
وأثناء النظر في إجراء التحكيم طبقا لما نصت عليه الاتفاقية أعلاه: اللجوء إلى مسطرة التحكيم في حالة حصول نزاع ، وبه عين المدعيين محكما لهما في حين لم يعينوا المدعى عليهما محكما رغم إنذارهما مما قام رئيس المحكمة الابتدائية بتعيين محكم لهما.
والنتائج التي أسفرت علها الدعوة المعروضة عبر مختلف المراحل القضائية تتجسد فيما يلي :
 على مستوى : القرار التحكيمي الصادر بتاريخ 24/01/1996
منطوق الحكم : أصدر المحكمين قرارا ضد المدعى عليهما بأن يؤدي تضامنا للمدعيين تعويضا مدنيا قدره 2.000.000 درهم وبأدائهما مبلغ 250.000 درهم أتعاب التحكيم ، ورفض ما زاد عن ذلك من الطلبات ، والتمسا الأمر بإعطاء الصيغة التنفيذية للقرار التحكيمي .
الحجج : أن عقد البيع مقيد بشرط إرادي محض يتعلق بسداد الثمن متروك لإرادة المدعيين الأصلين وحدهما وأن هذين الأخيرين لم ينفذ الشرط المذكور ولم يتم أي عقد بيع نهائي بين الطرفين ونتيجة لذلك لم ينشا أي التزام قانوني. وان المسطرة التي باشرها المدعى عليهما هي مسطرة تعسفية.
 على مستوى : المحكمة الابتدائية بالبيضاء أنفا
منطوق الأمر : أمر تذييل المقرر التحكيمي بالصيغة التنفيذية
 على مستوى : محكمة الاستئناف بالبيضاء
منطوق القرار : إبطال الأمر الابتدائي الآمر بتذييل المقرر التحكيمي بالصيغة التنفيذية.
الحجج : خرق للفصل 306 و 321 من ق.م.م.
 مرحلة النقض : الغرفة التجارية بتاريخ 08/03/2006
منطوق القرار : نقض وإبطال القرار الصادر عن محكمة الاستئناف بالبيضاء ، وبإحالة القضية على نفس المحكمة للبث فيها ، وهي مركبة من هيأة أخرى ، ويتحمل المطلوب الصائر.
الحجج : الغاية من الفصل 306 و321 من ق م م هو أنه لا يعطي للقضاء حق مراقبة مقرر المحكمين إلا إذا كان فيه مساس بالنظام العام بالمعنى القانوني ، كما أن تفسير المحكمين لبنود العقد لا يعد خرقا لمقتضيات الفصلين أعلاه.
فواضح مما سلف أن الأمر يتعلق من الناحية القانونية بسلطة القاضي بمراقبة مقررات المحكمين ومدى مخالفتهم للنظام العام.
الفرع الثاني: التعليق على القرار
انطلاق مما تقدم أعلاه يبدو أن أهم النقط القانونية التي تطرح إشكال حول سلطة القاضي في مراقبة المقررات التحكيمية؟
لا شك أن مناقشة هذا الإشكال القانوني والتعليق على المجلس الأعلى فيما يخص مراقبة القاضي بالمقررات التحكيمية طبقا للفصل 321 من ق.م.م، يفرض علينا التطرق إلى موقف المشرع المغربي( مطلب أول) ثم تقييم موقف المجلس الأعلى (مطلب ثاني).
المطلب الأول : موقف المشرع المغربي
يتجه الفقه والقضاء في فرنسا إلى التوسع من سلطات رئيس المحكمة فيما يخص مراقبته حكم المحكمين حيث أوجب بأن يتأكد على أنه ليس فيه ما يخالف النظام العام، فعليه كذلك أن يتأكد من أن القواعد الشكلية والتي يترتب عليها مخالفتها بطلان الحكم التحكيمي قد احترمت (التوقيع، تضمين البيانات الإلزامية، صدوره ضمن المدة الاتفاقية أو القانونية...)
وقد ساير هذا التوجه الفقهي الدكتور أحمد أبو الوفا الذي يرى بأنه يتعين على رئيس المحكمة أن يراقب ليس فقط أن حكم المحكمة لا يوجد فيه ما يخالف النظام العام بل عليه كذلك أن يراقب الشكل الذي يتطلبه القانون لإصدار الحكم والذي يترتب على مخالفته بطلان هذا الأخير.
وقد ذهب القانون الجديد رقم 05-08 المتعلق بالتحكيم والوساطة الاتفاقية على ذات التوجه الفقهي الفرنسي الذي وسع من صلاحية القضاء لمراقبة الحكم التحكيمي وذلك بناءا على الفصل 26-327 والذي يرتب على مخالفته هذه الحالات البطلان (غياب اتفاق التحكيم، تعيين الهيئة التحكيمية بصفة غير قانونية، مخالفة النظام العام...).
وبالرجوع إلى الفصل 321 من ق.م.م والذي هو محل تعليق، الذي ينص على أنه :لا يتأتى لرئيس المحكمة أو للرئيس الأول لمحكمة الاستئناف أن ينظر بعد تقديم المقال إليه بأي وجه في موضوع القضية غير أنه ملزم بالتأكد من أن حكم المحكمين غير معيب بالبطلان يتعلق بالنظام العام وخاصة بخرق مقتضيات الفصل 306 من ق.م.م.
يتبين من خلال هذا الفصل أعلاه أن المشرع المغربي قد ضيق على رئيس المحكمة إمكانية التوسع لمراقبة الحكم التحكيمي، حيث منع عليه النظر في موضوع القضية وبالتالي لا يمكن للقاضي أن يثير من تلقاء نفسه إلا المسائل المتعلقة بالنظام العام وخاصة مقتضيات الفصل306 من ق.م.م.
وعليه إذا ثبت هذا فيمكننا أن نتساءل ما هو موقف المجلس الأعلى وتبريراته فيما يخص الفصل 321 من ق.م.م هذا ما سنقوم تبيانه من خلال تقييم قرار المجلس الأعلى من الناحية القانونية.
المطلب الثاني: تقييم موقف المجلس الأعلى
برجوعنا إلى وقائع النازلة يتبين أن المقرر التحكيمي الرامي إلى تذييله بالصيغة التنفيذية قد وقع فيه خرق للنظام العام الذي جاءت به محكمة الاستئناف، يتجلى في عدم الاختصاص النوعي والخروج عن نطاق شرط التحكيم، كما أن تفسير المحكمين للبنود الاتفاق المبرم بين الطرفين هو عقد بيع معلق على شرط إرادي وهو أداء المشترين لثمن، هو بطلان ضمني للاتفاق وهو خارج للاتفاق الموكول للمحكمين وفيه مساس بالنظام العام.
غير أن المجلس الأعلى لم يعتد بهذا، وأنه لا وجود لخرق النظام العام واعتبره كأن لم يكن، ذلك أن مقرر تحكيمي لكي يكون باطلا لابد من خرقه لنظام العام، كما أن تفسير بنود العقد من طرف المحكمين لا يعد خرقا لمقتضات الفصلين 306-321 من ق.م.م.
وبالتالي يتبين لنا بأن موقف المجلس الأعلى في هذه النازلة باعتباره أنه لا يحق للقضاء حق مراقبة مقرر محكمين إلا إذا كان فيه مساس بالنظام وأن محكمة الاستئناف عندما أصدرت قرارها على النصوص المذكورة لم تعلله تعليلا سليما ولم تجعل ما قضت به أساسا صحيحا من القانون مما يجعله معرضا للنقض والإبطال.
وإذا تبت هذا فإننا نتساءل هل ما قضى به اجتهاد المجلس الأعلى يتماشى مع ما قرره الفقه والفصل 321 من ق.م.م فيما يخص مراقبة القضاء للمقررات التحكيمية؟
إن المجلس الأعلى في جوابه على الوسيلة متعلقة بخط مقتضيات الفصلين 306 و321 من ق.م.م. اعتبر أنه لكي يعتد بحق القضاء بمراقبة مقررات المحكمين أن يكون فيه مساس بالنظام العام بالمعنى القانوني وبرر هذا الموقف لكون هذه الحالات التي نص عليه الفصل 306 من ق م.م. على سبيل الحصر لا يدخل ضمنها الاختصاص النوعي لنطاق شرط التحكيم. كما أن تفسير المحكمين لبنود الاتفاقية المؤرخة في 8 فبراير 1988 المبرم بين الطرفين ليس فيه أي خروج عن الاختصاص الموكول للمحكمين، ويبقى القرار التحكيمي المراد تذييله صحيحا غير مخالف للنظام العام

إن المجلس الأعلى في قراره هذا محل تعليق على ما أقره ، والذي اعتبر أن قرار محكمة الاستئناف جانبت الصواب عند إثارتها للنظام العام .
بقرائتنا إلى الفصل 321 من ق م م ، أنه لا يقصد بإجراء الأمر بالتنفيذ أن يتحقق القاضي المختص بإصداره من عدالة حكم المحكمين ، فلا ينظر في سلامة وصحة حكم المحكمين في موضوع القضية لأنه لا يعد هيئة استئنافية في هذا الصدد ، كما لا يقصد بإجراء الأمر بالتنفيذ منح حكم المحكمين صفة الورقة الرسمية لأن هذه الصفة يتميز بها حال صدوره من وقت كتابته وحال صدوره.
ولكن حقيقة المقصود من إجراء الأمر بالتنفيذ هو الاطلاع على حكم المحكمين والتثبت من عدم وجود ما يمنع من التنفيذ بأن يكون حكم المحكمين غير معيب ببطلان يتعلق بالنظام العام ، وخاصة بخرق مقتضيات الفصل 306 ق م م كأن يكون موضوع التحكيم مما لا يجوز الاتفاق على التحكيم فيه.
وبذلك يتضح أن ما ذهب به قرار المجلس الأعلى كان سليما ، حيث حاول التقيد بحرفية الفصل 321 من ق م م ، الذي لا يمنح للقضاء حق مراقبة حكم المحكمين إلا إذا كان فيه مساس بالنظام العام ، وندعم تبريراته فيما يخص تفسير بنود العقد فهو لا يخالف النظام العام ، لأنه يبقى من حق المحكمين تفسير العقد وذلك من أجل باب البحث عن حقيقة إرادة عاقديه.
بيد أن ما يلاحظ من تفسير المحكمين لبنود العقد محل نظر يتجلى في النتيجة التي أسفر عليها حكم المحكمين المبنية على أن الاتفاق لم ينشئ أي التزام على كاهل أي من الطرفين ، فهذا التصريح الذي جاء في حكمهما يكونان بذلك قد حكما ضمنيا ببطلان الاتفاق .وبالتالي كيف يعقل إثارة بطلان الاتفاق وفي نفس الوقت يقضي بالتعويض بالتضامن ضد المدعى عليهما .
والقرار محل التعليق بنقضه لقرار محكمة الاستناف بالبيضاء ، وان أعاد الأمور إلى مجراها، ووجه محكمة الموضوع فإنه لا يمكننا الجزم بالقول إنه كرس مبادئ قانونية، خاصة بعد التعديلات التي أطالت05-08 المتعلقة بالتحكيم والوساطة الاتفاقية والذي حاول أن يوسع من سلطات رئيس محكمة فيما يخص مراقبته للحكم التحكيمي وترتيب جزاء البطلان طبقا للفصل 36-327 فقرة ثانية.
إلا أنه مع ذلك يبقى ذلك الاتجاه محمود لأنه حاول التعامل مع النظام العام بمرونة.[FONT=Arial]
